Hain Celestial to Sell International Unit to AURELIUS

Hain Celestial has agreed to sell the majority of its International business to AURELIUS, with sale proceeds earmarked to cut debt.

Hain Celestial has reached a definitive agreement to sell its International business to AURELIUS. The sale covers the majority of Hain's International business operations. AURELIUS is a global private equity firm.

Timeline and Approval

The transaction is expected to close in Hain Celestial's fiscal second quarter ending December 31, 2026. Hain Celestial's Board unanimously approved the agreement with AURELIUS. Closing remains subject to regulatory approvals and a credit agreement amendment.

Credit Agreement

Hain Celestial's existing credit agreement matures December 22, 2026. The company remains in discussions with its lenders to amend the agreement and extend that maturity date beyond December 22, 2026. The sale is conditioned upon securing that amendment, and AURELIUS may terminate the deal if it is not obtained within 30 days of signing.

Brands

The sale includes Ella's Kitchen, Joya, Natumi, Hartley's, Linda McCartney's Foods, Cully & Sully, Yorkshire Provender and New Covent Garden. Hain's North American business retains Celestial Seasonings, The Greek Gods, Earth's Best Organic, Spectrum Organic, MaraNatha and Imagine.

Advisors

DLA Piper's London team is serving as legal counsel on the transaction. Goldman Sachs is serving as Hain Celestial's financial advisor on the transaction.
