KBR files Form 10 for planned Trinzic spin-off

KBR filed a Form 10 with the SEC for the planned spin-off of Mission Technology Solutions, expected to become Trinzic in January 2027.

KBR said on Sept. 30 that it filed a Form 10 registration statement with the U.S. Securities and Exchange Commission for the planned spin-off of its Mission Technology Solutions business. The separation is expected in January 2027.

The business is expected to operate as Trinzic and trade on the New York Stock Exchange under the symbol TZIC. KBR said the Form 10 is available on its investor relations website and at SEC.gov.

What Trinzic will look like

KBR said Trinzic will be positioned as a global provider of mission-critical solutions for national security, defense and space customers. It said the company will have operations across more than 60 locations in North America, Europe and Australia/Pacific.

The company said Trinzic will launch with more than $5 billion in annual revenue, 18,000 employees and a global footprint. It said the business will enter the market with established partnerships and contracts.

Next steps

KBR said it expects to provide additional information with its third-quarter 2026 earnings release, including supplemental financial information for Trinzic as a standalone company and KBR after the separation. The spin-off is intended to be tax-free to KBR and its shareholders for U.S. federal income tax purposes, except for cash received in lieu of fractional shares, the company said.

KBR said the transaction remains subject to customary conditions and approvals. After the spin-off, the Sustainable Technology Solutions business will continue to operate under the KBR name.

Trinzic is scheduled to host its inaugural Investor Day on Thursday, Nov. 12, 2026, in New York City. KBR will host its Investor Day on Wednesday, Nov. 11, 2026, also in New York City.
