Midland States Bancorp files $250 million shelf with SEC

Midland States Bancorp said on Oct. 6, 2026 that it filed a universal shelf registration statement on Form S-3 with the SEC. The filing is not yet effective.

Once effective, the shelf would let Midland issue up to $250 million of securities from time to time. The company said it has no specific plans to issue any securities under the registration statement.
Jeffrey G. Ludwig, president and chief executive officer, called the filing “a prudent step in our long-term capital planning.” He said it gives Midland “additional flexibility to support our strategic priorities over time, while maintaining our disciplined approach to capital allocation.”
Midland said any future offering would be set at the time of that offering and described in a prospectus supplement. The company said the securities may not be sold, and offers to buy may not be accepted, before the registration statement becomes effective.
Midland said it is a community-based financial holding company headquartered in Effingham, Illinois, and the sole shareholder of Midland States Bank. As of June 30, 2026, it had total assets of approximately $6.70 billion and Wealth Management Group assets under administration of approximately $4.78 billion.
