Minerals Technologies prices $400 million senior notes due 2032

Minerals Technologies priced a $400 million private offering of 7.500% senior notes due 2032 and expects to close it on Oct. 13, 2026.

Minerals Technologies Inc. said on Oct. 1, 2026 that it priced its previously announced private offering of $400 million aggregate principal amount of 7.500% senior notes due 2032. The company said the initial offering price will be 100.000% of principal. It expects to close the offering on Oct. 13, 2026, subject to customary closing conditions.

Use of proceeds

Minerals Technologies said it intends to use the net proceeds, together with cash on hand, to redeem all outstanding 5.000% senior notes due 2028. It also plans to pay transaction fees and expenses tied to the offering and the concurrent amendment and extension of its revolving credit facility.

The company said the release does not constitute a notice of redemption and is not an offer to redeem or purchase, or a solicitation of an offer to sell, any of the 2028 notes.

Terms

The notes and the related guarantees are being offered in a private placement exempt from Securities Act registration requirements. Minerals Technologies said the securities are being offered only to qualified institutional buyers under Rule 144A and to non-U.S. persons outside the United States under Regulation S.

The company said the notes and guarantees have not been registered under the Securities Act and may not be offered or sold in the United States without registration or an applicable exemption.

Minerals Technologies said there is no assurance the offering will be completed on the proposed terms or at all.
