Skyworks says exchange offers for Qorvo notes have expired

Skyworks said its exchange offers for Qorvo notes expired at 5:00 p.m. New York time on October 5, 2026, after $1.43 billion was tendered.

Skyworks Solutions said its exchange offers for Qorvo notes expired at 5:00 p.m. New York City time on October 5, 2026. The company said no more notes may be tendered and validly tendered notes can no longer be withdrawn.

Final results

Global Bondholder Services, the information agent, told Skyworks that $779,422,000 of Qorvo’s 4.375% Senior Notes due 2029 had been tendered and not withdrawn. That was 91.70% of the $850 million outstanding principal.

For Qorvo’s 3.375% Senior Notes due 2031, the amount tendered was $647,096,000. That represented 92.44% of the $700 million outstanding principal.

Settlement

Skyworks said it expects to issue $778,096,000 of new 4.375% Senior Notes due 2029 and $646,805,000 of new 3.375% Senior Notes due 2031. Settlement is expected on or about October 7, 2026.

Offer terms

The exchange offers were made under Skyworks’ registration statement on Form S-4, which the SEC declared effective on May 29, 2026. Skyworks also filed the related final prospectus on that date.
